1. Agreement and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Dorianis Finance Ltd, a corporation registered in Ontario, Canada with VAT number 701948253 RT 0001 ("Company," "we," "us," or "our"), located at 199 Bay St., Toronto, ON M5L 1A2, Canada.

By accessing our website, using our services, or engaging with our advisors, you agree to be bound by these Terms. If you do not agree to any provision, you must not use our services. We reserve the right to modify these Terms at any time, and continued use of our services constitutes acceptance of changes.

2. Service Description

Dorianis Finance Ltd provides investment advisory services, portfolio management, financial planning, and related consultation services. Our services are offered to individual investors, institutional clients, and corporate entities seeking professional investment guidance.

All advisory services are subject to applicable securities regulations in Canada and other relevant jurisdictions. We operate under the regulatory framework established by provincial securities regulators and comply with all applicable laws, including the Securities Act (Ontario) and National Instrument 31-102 Registration Requirements, Exemptions and Ongoing Registrant Obligations.

3. Client Responsibilities

As a client of Dorianis Finance Ltd, you agree to:

  • Provide accurate, complete, and truthful information regarding your financial situation, investment objectives, risk tolerance, time horizon, and any material changes to these factors.
  • Promptly notify us of any changes in your circumstances that may affect your investment strategy or suitability of recommendations.
  • Review and understand all engagement letters, disclosure documents, and investment recommendations before accepting them.
  • Maintain the confidentiality of any account credentials or access information provided to you.
  • Comply with all applicable laws and regulations in your jurisdiction.

4. Investment Risk Disclosure

All investments carry inherent risks, including potential loss of principal. Past performance is not indicative of future results. Market conditions, economic factors, geopolitical events, and other variables may adversely affect investment performance.

You acknowledge that:

  • Investment recommendations are based on information and market conditions at the time of recommendation.
  • No investment strategy can guarantee profits or protect against losses.
  • Diversification does not ensure profit or protect against loss.
  • Market volatility may result in significant fluctuations in account value.
  • You have the right to decline any recommendation or seek a second opinion.

5. Fees and Compensation

Our fee structure will be clearly outlined in your engagement letter and may include:

  • Advisory Fees: Asset-under-management (AUM) based fees, typically ranging from 0.5% to 2.0% annually, charged quarterly or as specified.
  • Service Fees: Fixed or hourly fees for specific advisory engagements.
  • Transaction Costs: Brokerage commissions, trading spreads, and other execution costs imposed by third-party custodians.
  • Product Costs: Embedded fees within mutual funds, ETFs, or other securities.

All fees will be disclosed before engagement, and you will receive periodic statements detailing fees charged. You authorize us to deduct fees directly from your account as agreed. Fee changes require written notice with a minimum 30-day advance period.

6. Conflicts of Interest

Dorianis Finance Ltd discloses all material conflicts of interest, including:

  • Financial incentives or compensation from third parties in connection with recommended investments.
  • Proprietary products or related-party transactions.
  • Fee arrangements that may create incentives to recommend certain investments.
  • Personal trading activities of employees that may conflict with client interests.

Our advisors operate under a fiduciary standard when providing discretionary portfolio management and adhere to all applicable conflict-of-interest disclosure requirements under Canadian securities law.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DORIANIS FINANCE LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any investment losses, whether direct, indirect, or consequential.
  • Damages arising from market fluctuations or economic conditions beyond our control.
  • Losses resulting from your reliance on recommendations or third-party execution of trades.
  • Unauthorized access to your account due to your failure to maintain security of credentials.
  • Delays or errors caused by third-party custodians or service providers.

Our liability is limited to documented direct losses caused solely by our negligent or fraudulent conduct, capped at fees paid in the preceding 12 months. This limitation does not apply to claims arising from our gross negligence, willful misconduct, fraud, or violation of securities laws.

8. Confidentiality and Privacy

We are committed to protecting your personal and financial information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation. Our Privacy Policy, available at finance@dorianis.bond, details how we collect, use, and protect your data.

You authorize us to share information with custodians, regulators, tax authorities, and other service providers necessary for providing services. We employ industry-standard security measures to protect against unauthorized access, but no system is absolutely secure.

9. Termination of Services

Either party may terminate the engagement with written notice. Termination takes effect on the date specified in the notice, or immediately if cause exists (fraud, breach of agreement, or regulatory violation). Upon termination:

  • We will cease providing advisory services and managing your account.
  • Outstanding fees remain payable on a pro-rata basis through the termination date.
  • Assets will be transferred to your designated custodian or as directed.
  • We will maintain records per regulatory requirements (typically 7 years).

10. Regulatory Compliance

Dorianis Finance Ltd is registered as an investment firm under Ontario securities regulations and complies with all applicable securities laws, including the Securities Act, Regulation 31-102, and rules established by provincial regulators and the Investment Industry Regulatory Organization of Canada (IIROC) where applicable.

We maintain adequate insurance, including errors and omissions coverage, and adhere to know-your-client (KYC), anti-money laundering (AML), and combating the financing of terrorism (CFT) requirements. You authorize us to conduct background checks and obtain credit information as required by law.

11. Data Protection and GDPR Compliance

While Dorianis Finance Ltd is Canada-based, we comply with data protection principles consistent with GDPR for any clients in the European Union. This includes:

  • Obtaining explicit consent before processing personal data beyond necessary service provision.
  • Maintaining data in a secure, encrypted format.
  • Providing access to and correction of your personal data upon request.
  • Implementing data minimization and purpose limitation principles.
  • Notifying you of any data breaches without undue delay.

12. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Dorianis Finance Ltd or its content suppliers and is protected by Canadian and international copyright laws. You may view and print content for personal, non-commercial use only. Unauthorized reproduction, modification, or distribution is prohibited.

We do not warrant uninterrupted service or that our systems are free from viruses or malware. You assume all risk associated with accessing and using our services and assume responsibility for any damages to your computer or loss of data.

14. Dispute Resolution

Any disputes arising from these Terms or our services shall be governed by the laws of Ontario, Canada, without regard to conflict-of-law principles. You and Dorianis Finance Ltd agree to submit to the exclusive jurisdiction of the Ontario Superior Court.

Before pursuing litigation, we encourage you to attempt resolution through good-faith negotiation. If unresolved, disputes may be referred to mediation or arbitration in accordance with Ontario Arbitration Act procedures.

15. Indemnification

You agree to indemnify, defend, and hold harmless Dorianis Finance Ltd and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Your breach of these Terms or any applicable law.
  • Your misuse of our services or provision of false information.
  • Your violation of third-party rights.
  • Your negligent or intentional actions affecting your account.

16. Third-Party Links and Services

Our website may contain links to third-party websites and services. We are not responsible for the content, accuracy, or security of external sites. Your use of third-party services is governed by their terms and privacy policies. We recommend reviewing such policies before engaging.

17. Amendments

We reserve the right to amend these Terms at any time. Material changes will be communicated via email or website notice with a minimum 30-day notice period. Continued use of our services after such notice constitutes acceptance of amended Terms.
